Terms of Use
Chapter 1: General Provisions
Article 1.1 (Application of Terms)
The TAKOYAKI Terms of Use (hereinafter referred to as the "Terms") apply to the use of "TAKOYAKI" (hereinafter referred to as the "Service"), a language platform provided by TAKOYAKI (hereinafter referred to as the "Management"). Hereinafter, individuals who use the Service are referred to as "Users."
Article 1.2 (Amendments to the Terms)
Management may amend these Terms at any time by posting the amended Terms in an appropriate location on the website operated by Management, in the event of operational reasons or when Management otherwise deems necessary. In such cases, the conditions for using the Service shall be governed by the amended Terms.
Except as otherwise specified by Management, the amended Terms shall become effective from the time they are displayed on the Service. If a User uses the Service after such amendment, the User shall be deemed to have agreed to the amended Terms.
Article 1.3 (Notifications from Management)
Management shall notify Users of necessary information from time to time by posting on the Service, sending emails, or by any other method deemed appropriate by Management.
The notifications referred to in the preceding paragraph shall take effect at the time they are posted or the emails are sent.
Article 1.4 (Use of the Service)
Users shall comply with these Terms when using the Service.
The Service is an "intermediary service" connecting teachers who want to teach languages and students who want to learn languages. In addition, while we strive to improve the quality of learning by conducting surveys from time to time, all information obtained by Management through the Service may be provided to universities and other institutions for research purposes (provided that such data shall not include personally identifiable data). To use the Service, Users must register for the Service in accordance with the following article. Users under the age of 18 cannot register for or use the Service.
Users shall use the Service in accordance with the guidelines, FAQs, and notifications provided separately by Management, after confirming and understanding them.
Management may freely change the content of the Service when Management deems it necessary, and Users shall use the Service with the understanding of this.
Article 1.5 (Registration)
Persons wishing to register for the Service (hereinafter referred to as "Applicants") may apply to Management for registration by agreeing to comply with these Terms and providing certain information specified by Management (hereinafter referred to as "Registration Information") in a manner prescribed by Management.
Applications for registration must be made by the individual who will use the Service, and applications by proxy are generally not permitted. In addition, registrants must keep their Registration Information true, accurate, and complete at all times.
Management shall determine whether to approve the registration of an Applicant in accordance with Management's criteria. If Management approves the registration, it shall notify the Applicant to that effect, and registration shall be completed upon such notification.
Management may refuse registration if the Applicant who applied for registration based on this Chapter falls under any of the following items:
When Management determines that there is a risk of violating these Terms;
When all or part of the provided Registration Information is false, incorrect, or incomplete;
When the person has had their registration to use the Service revoked in the past;
When the person is under 18 years of age, or has been found to be under 18 years of age;
When the person is an antisocial force, etc. (meaning organized crime groups, members of organized crime groups, persons who have not yet passed 5 years since ceasing to be members of organized crime groups, quasi-members of organized crime groups, affiliated companies of organized crime groups, and other equivalents; hereinafter the same), or when Management determines that the person has any interaction or involvement with antisocial forces, etc., such as cooperating or being involved in the maintenance, operation, or management of antisocial forces through financing or other means;
In any other cases where Management determines that registration is inappropriate.
Users shall hold one account per person on the Service. A single person may not hold multiple accounts, nor may multiple people jointly hold a single account.
Article 1.6 (Submission of Documents Required by Management)
When using the Service, Users shall submit identity verification documents and other documents required by Management in accordance with procedures specified by Management.
If Management deems it necessary, Management may request Users to cooperate in submitting the above documents, and may restrict the use of the Service for Users who do not cooperate.
If a User fails to comply with the Terms of Use, Management may take measures to restrict or prohibit the User's use of the Service, and the User shall not raise any objection thereto.
Chapter 2: Community Terms
Section 1: Interaction Terms
Article 2.1.1 (Responsibility for Interactions, etc.)
The Service provides a "venue" for members to interact with each other, but Management is not responsible for the content of statements made during interactions. However, Management is under no obligation to actively monitor interactions to determine whether they violate these Terms.
Furthermore, Management is under no obligation to disclose the rules regarding account regulations.
Article 2.1.2 (Prohibited Acts)
Users shall not engage in the following acts (hereinafter referred to as "Prohibited Acts") when using the Service.
If Management determines that an act falls under or is likely to fall under a Prohibited Act, Management may take measures such as regulating the User's account and may also prohibit the User from further using the Service. Users acknowledge that Management shall not bear any responsibility whatsoever even if damage is incurred by the User based on measures taken by Management pursuant to this Article.

Users grant Management the right to use their behavior within the community free of charge (including reproduction, copying, modification, sublicensing to third parties, and any other use).
The license granted in the preceding paragraph shall be free of regional restrictions, copyright notice obligations, or other incidental conditions, and the period of the User's license to Management shall continue as long as the intellectual property rights of the community, etc., exist.

Management or a third party commissioned by Management may use and publish interactions within the community on websites or educational institutions operated by Management or third parties. In such cases, Management may perform modifications such as summarizing, excerpting, resizing, or clipping the relevant information. In addition, Users acknowledge in advance that when Management uses data obtained within the community, Management may display the User's user ID and other registration details.
Except as permitted by Management on the Service in a manner specified by Management, Management does not grant the use of communities, etc., based on these Terms to any third parties other than the User themselves, and Users shall not act to infringe upon the rights of other users' behavior within the community. Furthermore, Users shall not automatically collect or analyze interactions or behaviors within the community by crawling or similar means.

Users shall be solely responsible for their own behavior within the community and interactions with other users, and have an obligation to strive for appropriate behavior.
Management shall not assume any responsibility whatsoever if interactions fail to reach servers managed by Management or if communication failures occur.
As a general rule, interactions with other users included in the Service can only be viewed by the user who sent them and the user who received them. However, if Management checks them as necessary and determines that the content falls under or is likely to fall under a prohibited act, Management may take account restriction measures.
Users acknowledge that Management shall not be responsible for any damages incurred by Users as a result of using this site or actions taken by Management pursuant to this Article.
Section 2: Lesson Terms, etc.
Article 2.2.1 (Principle of Self-Responsibility for Lessons, etc.)
Users can use the Service to provide lessons and make promises, agreements, etc., regarding lessons (hereinafter referred to as "Lesson Transactions"), but Users must conduct Lesson Transactions at their own risk and responsibility while complying with these Terms.
Lesson transactions between users utilizing the Service are mediated for matching and payments by Management, but are ultimately established between the users. Management is not directly involved in matters incidental to lesson transactions between users, and all matters related to lesson transactions between users shall be conducted at the users' own risk. However, rules regarding matching mediation, payment mediation, and information used for lesson transactions and matching shall comply with the terms of use established by Management.
Management will not, as a general rule, intervene in matters concerning the lesson content of lesson transactions between users, and users cannot ask Management to resolve troubles concerning the lesson content itself. However, Management may intervene in troubles between users, such as intervening in or reorganizing matching pairs, refunding money, or restricting relevant accounts, if Management deems it necessary for the smooth operation of the Service.
Improvements to the lesson content itself shall be resolved at the user's expense and responsibility.
Users must comply with these Terms when conducting lesson transactions using the Service.
In addition, the following acts may be subject to account restrictions:
Repeated malicious tardiness or sudden cancellations;
Repeated offensive statements to other users;
Continuing other acts deemed to lower the quality of lessons or the Service.
Article 2.2.2 (Matters Concerning the Entire Service)
Users shall understand and comply with these Terms of Use for lesson transactions and community use utilizing the Service.
Users shall cooperate with surveys at times deemed necessary by Management and provide necessary information. In addition, Users must promptly check and respond to communications from Management.
Furthermore, Management may freely acquire and edit data obtained within the Service and freely disclose it to third parties such as educational institutions.
Management assumes no responsibility whatsoever for damages incurred by third parties outside the site.
Article 2.2.3 (Matters Concerning Settlement)
Regarding lessons, users must not make lesson reservations without the intention of taking them (including, but not limited to, prank reservations and repeated sudden cancellations).
Chapter 3: Tuition Terms
Article 3.1 (General Provisions on Payment)
When conducting lessons, after Management confirms the intention of both the teacher and student sides regarding the lessons, users can make advance payments for lessons using the online settlement function provided by the online system of the Service (hereinafter referred to as "Online Settlement"). Online Settlement requires advance payment of tuition fees by the deadline instructed by Management in accordance with the provisions of these Terms. The purpose is to improve settlement security by Management making payments to the teacher side after Management confirms the completion of the lesson, but it is subject to the procedures and other restrictions specified in this Chapter, and both the teacher and student sides use Online Settlement with this understanding.
In addition, if the completion confirmation from both the teacher and student sides cannot be obtained after the lesson, Management will send a fact-checking email, but the tuition fee will not be reflected for the teacher side until the confirmation is completed.
The tuition fee reflected will be the amount after deducting the lesson commission fee.
In principle, the lesson commission fee shall be 10% of the tuition fee, provided that users registered during a campaign period shall not be subject to this, and Management may receive the lesson commission fee in accordance with the fee displayed on the user's My Page.
Article 3.2 (Transaction Conditions and Formation of Online Settlement Transactions, etc.)
When conducting lessons, the teacher side shall register the lesson amount, lesson schedule, and other transaction conditions in accordance with the procedures and methods prescribed by Management.
By presenting the content presented to Management to the student side, the student side can make final confirmations of the lesson schedule and amount. When the presented contents are consistent, the student side shall make an advance payment of the tuition fee to Management and pay it by the start time of the lesson. Upon receiving the advance payment completion notice before the start of the lesson, both parties shall conduct the lesson.
Tuition fees will be reflected after confirming the completion of the lesson. Management does not specify the format for conducting lessons, which shall be decided through discussion between the teacher and student, but as a general rule, meeting directly between individuals is not recommended, and Management assumes no responsibility whatsoever for troubles that occur when meeting directly.
Article 3.3 (Remittance of Online Settlement Transactions)
Users with reflected tuition fees can apply for remittance as appropriate. At that time, the user applying for remittance shall register the bank account and other necessary information in accordance with the procedures and methods prescribed by Management.
Regarding remittance fees, 110 yen will be charged for the first time in that month, and 220 yen will be charged for the second and subsequent times. All users applying for remittance shall comply with these terms.
Article 3.4 (Regarding Refunds)
Management will issue refunds to the student side in online settlement transactions if it is determined that it is a fact that no lesson was conducted.
No refunds will be given for the purchase of paid plans provided by Management other than lessons, and users shall make purchases with the understanding of this.
